Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the LockCodeTracker mobile application (the "Service") operated by Frugal Apps ("us", "we", or "our").

IMPORTANT: This is a template Terms of Service agreement. Please have your attorney review and customize this document to ensure it complies with all applicable laws and accurately reflects your business practices.

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

LockCodeTracker is a mobile application that allows users to:

• Store and manage property information and lock codes
• Organize properties with images, addresses, and notes
• Assign properties and lock codes to team members
• Control access through role-based permissions
• Track changes through audit logs
• Access information across multiple devices

3. Accounts and Registration

3.1 Account Creation

To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring your contact information remains current

3.2 Account Eligibility

You must be at least 18 years old to use the Service. By creating an account, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. Subscription Plans and Billing

4.1 Free Plan

The Free plan allows you to manage up to 10 properties with unlimited lock codes and users. This plan is provided at no cost and may be discontinued or modified at our discretion.

4.2 Pro Plan

The Pro plan ($12/month) provides unlimited properties and additional features. By subscribing to the Pro plan, you agree to:

• Pay the subscription fee on a monthly basis
• Automatic renewal until you cancel
• Payment through your mobile app store (Apple App Store or Google Play Store)

4.3 Billing and Cancellation

• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period
• Your account will be charged for renewal within 24 hours prior to the end of the current period
• You can manage and cancel subscriptions through your app store account settings
• No refunds for partial months or unused time
• Downgrading to the Free plan may result in loss of access to properties beyond the 10-property limit

4.4 Price Changes

We reserve the right to modify subscription prices with 30 days' notice. Price changes will take effect at your next billing cycle after the notice period.

5. Acceptable Use

5.1 You Agree To:

• Use the Service only for lawful purposes
• Maintain accurate and current information
• Respect the intellectual property rights of others
• Comply with all applicable local, state, national, and international laws

5.2 You Agree NOT To:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Transmit viruses, malware, or other malicious code
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Collect or harvest information about other users
• Use the Service to send spam or unsolicited communications
• Impersonate any person or entity
• Share your account credentials with unauthorized parties
• Reverse engineer, decompile, or disassemble the Service

6. Content and Intellectual Property

6.1 Your Content

You retain all rights to the content you submit to the Service (property information, lock codes, images, notes, etc.). By using the Service, you grant us a license to store, process, and display your content solely to provide the Service.

6.2 Our Intellectual Property

The Service, including its original content, features, and functionality, is owned by Frugal Apps and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.3 Prohibited Uses of Content

You may not use the Service to store or share:

• Content that is illegal, harmful, or violates others' rights
• Content that infringes intellectual property rights
• Confidential information you don't have permission to share
• Malicious code or files

7. Data Security and Responsibility

7.1 Our Commitment

We implement reasonable security measures to protect your data, including:

• Encryption of data in transit and at rest
• Secure authentication mechanisms
• Regular security audits and updates
• Role-based access controls

7.2 Your Responsibility

You are responsible for:

• Maintaining secure passwords and authentication credentials
• Properly managing user access and permissions
• Ensuring you have the right to store and share the information you add
• Complying with applicable laws regarding data protection and privacy
• Creating backups of critical information

7.3 No Guarantee

While we take security seriously, no system is completely secure. We cannot guarantee that unauthorized access, hacking, data loss, or other breaches will never occur.

8. Disclaimers and Limitations of Liability

8.1 "AS IS" Service

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2 No Warranty

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Service will be accurate or reliable
• Any errors in the Service will be corrected
• The Service will meet your specific requirements

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FRUGAL APPS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Unauthorized access to or alteration of your data
• Any other matter relating to the Service

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR $100, WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless Frugal Apps, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your content or data stored in the Service

10. Data Backup and Loss

While we implement regular backup procedures, you are solely responsible for maintaining backup copies of your data. We are not liable for any loss or corruption of data, or any costs associated with restoring or recovering data.

11. Third-Party Services

The Service may integrate with or link to third-party services (e.g., Google Street View, payment processors, authentication providers). We are not responsible for the content, privacy policies, or practices of third-party services. Your use of third-party services is subject to their terms and policies.

12. Modifications to Service

We reserve the right to:

• Modify or discontinue the Service (or any part) at any time
• Change features, functionality, or availability
• Impose limits on certain features or restrict access

We will make reasonable efforts to notify you of significant changes to the Service.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or in-app notification at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

14. Termination

14.1 By You

You may terminate your account at any time through the app settings or by contacting support. Upon termination:

• Your access to the Service will be revoked
• Your data will be deleted within 90 days (unless required for legal purposes)
• No refunds will be provided for unused subscription time

14.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Fail to pay subscription fees
• Pose a security risk to the Service or other users

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law provisions.

15.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through:

1. Informal Resolution: Contact us at support@lockcodetracker.com to attempt resolution
2. Mediation: If informal resolution fails, disputes shall be submitted to mediation
3. Arbitration: If mediation fails, disputes shall be resolved through binding arbitration

15.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis and waive your right to participate in class actions or class arbitrations.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Frugal Apps regarding the Service and supersede any prior agreements.
